Estimados Accionistas de Investa Capital SAECA,

Es un placer para mi dirigirme a ustedes para presentar el informe anual de nuestra empresa correspondiente al ejercicio fiscal 2022. En primer lugar, quisiera agradecer su confianza y apoyo continuo en el desarrollo de nuestros negocios.

Durante el año pasado, nuestra empresa y sus inversiones subyacentes enfrentaron diversos desafíos debido a la situación económica, política, geopolítica y sanitaria que atravesó el mundo entero y nuestro país, incluyendo la temporada electoral del Paraguay. Sin embargo, gracias a la dedicación y compromiso de nuestro equipo, logramos mantener nuestras operaciones y continuar con nuestras inversiones.

La innovación es compleja porque requiere de diferentes actores, recursos, elementos y ámbitos que no siempre están siempre conectados; o lo que es peor, muchas veces se ignoran entre ellos. Investa Capital SAECA ha innovado en el sistema bursátil local en una coyuntura bastante compleja con poco apoyo de actores importantes del sector bursátil como lo son las casas de bolsa por ejemplo, que no han tenido en cuenta su oferta pública como una alternativa válida de inversión, principalmente por las bajas tasas que ofrece la compañía, 8 a 12 por ciento anual, el mercado ha sido un tanto hipócrita en su desarrollo pues ha buscado altas tasas de retorno y no ha medido bien los riesgos.

Este segundo ejercicio cerrado ha llegado ya con utilidades como estaba previsto en el plan de negocios en línea con la visión que hasta ahora teníamos de la compañía.

Si bien no hemos colocado el 100% de las acciones, nuestras colocaciones han sido lo suficientemente exitosas considerando la novedad del instrumento en nuestra plaza financiera, más acostumbrada a instrumentos de renta fija, tales como Bonos o Acciones con rendimiento fijo tales como las acciones preferidas con una tasa predefinida por un determinado tiempo.

 

Proceso de desinversión

En cuanto a inversiones hemos realizado un proceso de desinversión con la posición de Credicentro SAECA por el bajo rendimiento y dividendos de la acción – menos del 2% con una inflación media en los últimos años de 4.5% - que a su vez se pagaron en cuotas durante el año 2022 lo que bajo el rendimiento financiero real  – por el ejercicio 2021 -  así como también, no ver un plan claro con relación a la empresa que quedo como accionista de la financiera y nos posicionaremos en activos reales, tales como terrenos en propiedades estratégicas que nos permitirán una venta en un corto y mediano plazo para continuar con nuestro plan de inversiones. Al corte del año esta posición estaba aún como una cuenta por cobrar, situación que se regulariza al 31 de marzo de 2023.

 

Plan de Inversiones

El Comité de Inversiones, así como el Directorio de Investa Capital SAECA se encuentran trabajando para realocar los activos de la siguiente forma, buscando un rendimiento de aproximadamente 2 veces lo que rinde un CDA en promedio en el sistema financiero y bancario de plaza local en guaraníes, generando un flujo de dividendos de al menos 50% de este rendimiento, generando flujo de caja y también generación de valor en la proyección del tiempo, ya sea por la capitalización de las ganancias o por el incremento del valor contable de la acción así como por el aumento del precio de mercado del instrumento.

Rendimiento Objetivo de la compañía es de 10% +/- 2% EN GUARANIES.

 

Edificio Eligio

Nuestro Edificio es sin duda alguna un rotundo éxito, a la fecha de este informe tenemos vendido 16 de 24 Departamentos, es decir dos tercios del edificio, las ventas fueron en su mayoría al contado o casi al contado y han sido muchos de nuestros propios accionistas quienes han confiado y han comprado unidades para renta. Estamos recibiendo mucho interés en la zona de obras de gente que quiere alquilar las unidades por lo que estamos tomando nota para facilitar y ver sinergias para nuestros inversores para que una vez finalizado el edificio los mismos puedan de inmediato rentar sus unidades.

Esperamos terminar el edificio para el mes de noviembre de este año 2023, todo marcha normal, tuvimos 45 días aprox. de retraso, 15 por lluvia y 30 por unos refuerzos de pilotes en los linderos para reforzar y evitar desmoronamientos y reforzar también la fundación (todo al mismo tiempo).

 

Cambio de Estrategia y Management

Por un reciente cambio en la visión y perspectiva de la dirección de la compañía es muy posible que el rendimiento de la acción para los próximos ejercicios este por debajo de los rendimientos cuyas expectativas iniciales esperábamos, principalmente para cuidar la calidad de los activos, por lo que es probable que el rendimiento de las acciones se reduzca a retornos de 4% y esto sea incremental en el plazo, llegando en 3 a 5 años a tasas del 10% o 12% anual, por lo que considerando que este es un cambio importante en la característica del instrumento. Esta no es una recomendación para que venda sus acciones, tampoco para que las conserve, sino un aviso de cambio en la perspectiva de rendimiento del instrumento. Esperamos que las acciones de la compañía estén 100% integradas en los próximos meses por lo que su disponibilidad en mercado primario será limitada.

 

Resultados y Destino de las Utilidades

En cuanto a los resultados financieros, nos complace informar que las utilidades del ejercicio 2022 ascienden a Gs. 907.681.333, pero las pérdidas acumuladas del ejercicio 2021 son de Gs. 335.209.523, por lo que el resultado neto es de Gs. 572.471.810.

En línea con el Gobierno Corporativo, el 04/05/2022 he firmado un Compromiso Irrevocable de votar en Asamblea a favor de distribuir el 50% de las utilidades, como así también a renunciar a mis dividendos para cumplir con el objetivo de rentabilidad.

Antes, el 29/04 por Acta de Directorio se ha determinado que el objetivo de rentabilidad de la compañía era del promedio del rendimiento de los CDA Bancarios de los últimos 24 meses, o el promedio de los últimos 5 años del crecimiento del país, el que fuera mayor, resultando ese número en 13.91% y 3.72% respectivamente según información del Banco Central del Paraguay.

También se han excluido del cálculo a los accionistas minoritarios que no han hecho su aporte efectivo o no han integrado efectivamente el mismo, o no han transferido el activo integrado si el mismo haya sido un inmueble, por ejemplo.

Con la renuncia de las utilidades de acuerdo al compromiso irrevocable que firme el , destinando el 80% de nuestros resultados netos han rendido un 10,8% sobre el capital de los accionistas minoritarios cumpliendo así el compromiso de rentabilidad con quienes confiaron en la gestión de su capital a Investa Capital. El 20% restante se quedará como una reserva patrimonial para cumplir con la reserva legal y el excedente quedará como una reserva facultativa propiedad de la empresa y denominada Reserva Facultativa Ejercicio 2022.

 

Comentarios de los Auditories Externos

Si bien los AAEE han observado que la venta de los Departamentos del Edificio Eligio no puede ser considerado un ingreso, en razón que las unidades no han sido efectivamente entregadas a sus propietarios, el Directorio ha considerado que el resultado es genuino ya que el costo proporcional está debidamente asentado así como también el dinero fruto de estas ventas se trata de dinero ingresado 100% en efectivo, no se tratan de ventas a crédito, pues si bien tenemos cuentas por cobrar por los departamentos vendidos, las mismas no han sido facturadas por lo que no están en el balance. Eso recién se reconocerá una vez que se facture y cobre como lo ha sido hasta hoy. Principio de lo percibido.

 

Mensaje Personal del Presidente

En lo personal no ha sido un año fácil este superado 2022, he decidido separarme de mi esposa en febrero y divorciarme en noviembre luego de más de 17 años de matrimonio y otros 7 años de noviazgo, más de 24 años, he compartido con ella más de la mitad de mi vida y casi la totalidad de mi vida adulta. Todo esto fue muy duro para mi familia y para mí, especialmente para mis 4 hijas. Resulta difícil abstraerse a esta situación siendo líder al frente de una compañía como la que me toca dirigir, más toda esta situación me ha hecho más fuerte, me he dado cuenta de muchos errores que he cometido en los últimos años e incluso meses en mi vida personal, que he generado mucha preocupación en las personas que me conocen hace mucho tiempo, yo mismo estoy sorprendido, pero como dice F. Scott Fitzgerald“Por eso que vale… nunca es demasiado tarde, o en mi caso demasiado pronto para ser quien quieres ser. No hay límite de tiempo. Comienza cuando tú quieras. Puedes cambiar o permanecer igual. No hay reglas para estas cosas. Podemos hacer lo mejor o lo peor de esto. Yo deseo que hagas lo mejor. Deseo que veas las cosas que te sorprendan y que sientas lo que nunca antes había sentido. Deseo que conozcas a gente con un punto de vista diferente. Deseo que vivas una vida de la que estes orgulloso y si no lo estas, deseo que tengas el coraje de empezar de nuevo”.

Es importante destacar que nuestros logros no hubieran sido posibles sin el trabajo en equipo y el tesonero empeño diario de todos nuestros colaboradores. Por esta razón, quiero expresar mi agradecimiento a cada uno de ellos por su compromiso y esfuerzo en el éxito de nuestra empresa.

En conclusión, este ha sido un año desafiante pero exitoso para nuestra empresa y esperamos seguir contando con su confianza y apoyo en el futuro.

It is my pleasure to present our company's annual report for fiscal year 2022. First, I would like to thank you for your trust and continued support in the development of our business.

Over the past year, our company and its underlying investments have faced various challenges due to the economic, political, geopolitical and health conditions that the entire world and our country have experienced, including the election season in Paraguay. However, thanks to the dedication and commitment of our team, we managed to maintain our operations and continue with our investments.

Innovation is complex because it requires actors, resources, elements, and an environment that are not always connected; or what is worse, many times they ignore each other. Investa Capital SAECA has innovated in the local stock market system in a complex situation with little support from important players in the stock market such as brokerage firms, for example, which have not taken their public offering into account as a valid investment alternative. mainly due to the low rates offered by the company, 8 to 12 percent per year, the market has been somewhat hypocritical in its development, since it has sought high rates of return and has not measured the risks well.

This second closed financial year has already arrived with profits as foreseen in the business plan in line with the vision that the company has used up to now.

Although we have not placed 100% of the shares, our placements have been sufficiently successful considering the novelty of the instrument in our financial market, more accustomed to fixed income instruments, such as Bonds or Shares with fixed yield such as preferred shares. with a predefined rate for a certain time.

 

Divestment process

Regarding investments, we have carried out a divestment process with the position of Credicentro SAECA due to the low performance and dividends of the share - less than 2% with an average inflation in recent years of 4.5% - which in turn were paid in installments during the year 2022, which lowered the real financial performance - for the year 2021 - as well as not seeing a clear plan in relation to the company that remained as a shareholder of the financial company and we will position ourselves in real assets, such as property land strategies that will allow us a sale in the short and medium term to continue with our investment plan. At the end of the year, this position was still an account receivable, a situation that was normalized as of March 31, 2023.

 

Investment plan

The Investment Committee, as well as the Investa Capital SAECA Board of Directors, are working to reallocate the assets in the following way, seeking a return of approximately 2 times what a CDA yields on average in the local financial and banking system in guaraníes , generating a flow of dividends of at least 50% of this yield, generating cash flow and also generating value in the projection of time, either by the capitalization of profits or by the increase in the book value of the share as well as due to the increase in the market price of the instrument.

Eligio Building

Our Building is undoubtedly a resounding success, as of the date of this report we have sold 16 of 24 Departments, two thirds of the building, the sales were mostly for cash or almost for cash and many of our own shareholders who have trusted and bought rental units. We are receiving a lot of interest in the construction zone from people who want to rent the units, so we are taking note to facilitate and see synergies for our investors so that once the building is finished, they can immediately rent their units.

We hope to finish the building for the month of November of this year 2023, everything is going normally, we had approximately 45 days in delay, 15 due to rain and 30 due to reinforcing piles on the edges to reinforce and prevent landslides and reinforce the foundation (all at the same time).

 

Change of Strategy and Management

Due to a recent change in the vision and perspective of the company's management, it is very possible that the performance of the share for the coming years will be below the returns whose initial expectations we expected, mainly to take care of the quality of the assets, therefore that it is probable that the performance of the shares will be reduced to returns of 4% and this will be incremental in the term, arriving in 3 to 5 years at rates of 10% or 12% per year, therefore considering that this is an important change in the instrument characteristic. This is not a recommendation to sell your shares, nor is it a recommendation to hold them, but rather a notice of a change in the outlook for the instrument's performance. We expect the company's shares to be 100% integrated in the coming months, so its availability in the primary market will be limited.

 

Results and Destination of Profits

Regarding the financial results, we are pleased to report that the profits for the year 2022 amount to Gs. 907,681,333, but the accumulated losses for the year 2021 are Gs. 335,209,523, so the net result is Gs. 572,471,810.

In line with the Corporate Governance, on 05/04/2022 I signed an Irrevocable Commitment to vote in the Assembly in favor of distributing 50% of the profits, as well as waiving my dividends to meet the profitability objective.

Comments from External Auditors

Although the External Auditors have observed that the sale of the Apartments of the Eligio Building cannot be considered income, since the units have not been effectively delivered to their owners, the Board of Directors has considered that the result is genuine since the proportional cost It is duly established, as well as the money from these sales, it is money paid 100% in cash, it is not credit sales, because although we have accounts receivable for the apartments sold, they have not been invoiced for what they are not in balance. This will only be recognized once it is invoiced and collected as it has been until today. Principle of the perceived.

 

Personal Message from the President

Personally, 2022 has not been an easy year, I have decided to separate from my wife in February and divorce in November after more than 17 years of marriage and another 7 years of friendship, more than 24 years, I have shared more with her half of my life and almost all my adult life. All of this was very hard on my family and me, especially my 4 daughters. It is difficult to get away from this situation as a leader at the head of a company like the one I must run, but this whole situation has made me stronger, I have realized many mistakes that I have made in recent years and even months in my life. personal, that I have caused a lot of concern in people who have known me for a long time, I am surprised myself, but as F. Scott Fitzgerald says “For what it’s worth: it’s never too late or, in my case, too early to be whoever you want to be. There’s no time limit, stop whenever you want. You can change or stay the same, there are no rules to this thing. We can make the best or the worst of it. I hope you make the best of it. And I hope you see things that startle you. I hope you feel things you never felt before. I hope you meet people with a different point of view. I hope you live a life you’re proud of. If you find that you’re not, I hope you have the courage to start all over again".

It is important to highlight that our achievements would not have been possible without teamwork and the tenacious daily commitment of all our collaborators. For this reason, I want to express my gratitude to each one of them for their commitment and effort in the success of our company.
